Position Summary:

Responsible for handling a variety of complex legal projects within the legal department, focused on providing primary legal support to HARMAN’s procurement business teams.  Applies subject matter knowledge; requires capacity to understand specific needs or requirements to apply skills/knowledge.



Supervisory Responsibilities:

This position will supervise other inside and outside counsel on an as needed basis.  This position may ultimately have one to two direct or shared direct reports following completion of reporting realignment within the legal department.



Job Responsibilities:

  • Serve as lead counsel for HARMAN’s procurement function, including providing direct support to the procurement and supply chain management teams
  • Support HARMAN’s procurement functions for supplier contracts across direct material, outsourcing partners, software, licenses and indirect suppliers.
  • Provide general legal advice to and serve as an integral part of the procurement and operations senior management teams
  • Responsible for contract strategies and processes, including drafting, reviewing and negotiating vendor agreements, supply agreements, confidentiality agreements, consultant agreements, manufacturing agreements, outsourcing agreements, and license agreements
  • Provide advice on compliance and antitrust related matters
  • Manage litigation matters arising out of procurement and operations activities, including contract disputes, indemnification claims, product liability claims, and compliance matters
  • Assist with corporate transactions including outsourcing agreements, divestments, mergers & acquisitions, and joint ventures.  Prepare, review and negotiate agreements and related documents, such as nondisclosure agreements, escrow agreements, legal opinions, schedules and closing documents.  Assist with operations and supply chain due diligence related to M&A transactions and joint ventures
  • Responsible for developing and implementing operations and supply chain compliance programs related to FCPA, U.S. export controls, CA Prop. 65, etc.
  • Assist in managing budgets and related costs to ensure effective use and deployment of both inside and outside legal resources
  • Assist with the design and implementation of legal process improvements, including contract standardization/automation initiatives



Basic Qualifications:

  • JD from an accredited law school in the U.S.
  • Member in good standing of the Michigan State Bar or comparable state law admission with the ability to practice as in-house counsel in Michigan
  • Minimum 10+ years of related experience, preferably in a combination of well regarded law firm and corporate settings, with some international experience
  • Solid exposure to drafting and negotiating domestic and international commercial contracts (i.e. agency, distribution, supply, development, licensing, information technology agreements.)
  • Exceptional communication skills (verbal and written) with the ability to liaise with all areas of the business at all levels, including senior management
  • Ability to work independently and take ownership of projects
  • Willing to assess legal risks in the context of both individual deals and the wider business, and balance these with commercial needs
  • Bright self-starter who can work autonomously
  • Harman requires interaction at all levels between its legal function and its internal departmental clients.  It is therefore essential that the successful candidate possesses the commercial acumen required to forge close working relationships with individuals from all areas of the business

  • Willingness to travel 15% of the time
  • Must be in good professional standing and have no prior adverse disciplinary action
  • Willingness to work in an office in Novi, Michigan
